Section 01
Contract
The client’s approval for work to commence shall be considered a contractual agreement between the Client and AMR Softec. Approval may be given by email, signed quotation, signed proposal, advance payment, or written confirmation.
Payment of the advance fee confirms that the Client accepts these Terms and Conditions and approves AMR Softec to start the work.
Section 02
Usage of AMR Softec Services
The Client agrees not to use AMR Softec services, products, solutions, websites, applications, or deliverables for any illegal, harmful, abusive, or unethical business.
The Client is fully responsible for all content, images, data, information, and materials published through their website, application, or digital platform.
Section 03
Technical Support
AMR Softec provides technical support for issues directly related to development errors, server-side scripting bugs, logical errors, calculation issues, connection errors, and API integration issues, unless otherwise agreed in writing.
- Support does not include issues caused by third-party software, plugins, APIs, hosting, or server changes.
- Support does not include code edits made by the Client or any external developer.
- Support does not include browser, operating system, software, or extension upgrades or downgrades.
- Support does not include training, general questions, cosmetic updates, UI/UX changes, or new feature requests.
- Support does not include enhancements or modifications outside the approved project scope.
Section 04
Photography, Images, and Graphics
Stock images, photographs, graphics, icons, videos, animations, and other third-party assets are not included in the project cost unless clearly mentioned in the proposal.
- The Client is responsible for purchasing required licenses for stock assets.
- Demo images used during development must not be used commercially unless licensed.
- Images and content provided by the Client are assumed to be legally owned or licensed by the Client.
- AMR Softec shall not be responsible for copyright claims related to materials supplied by the Client.
Section 05
Browser Compatibility
AMR Softec makes reasonable efforts to ensure that websites work properly on modern browsers such as Google Chrome, Firefox, Safari, and Microsoft Edge.
Older or outdated browsers may require additional work and may be charged separately.
Section 06
Search Engine Submission and SEO
Search engine submission, search engine ranking, on-page SEO, off-page SEO, technical SEO, content writing, keyword ranking, and digital marketing services are not included unless clearly mentioned in the project proposal.
Section 07
Website Maintenance
After the website is made live, the following services will be charged separately unless included in a maintenance agreement:
- Content updates
- Design changes
- New pages or sections
- Feature additions
- Performance improvements
- Security updates
- Third-party plugin, API, or software updates
Section 08
Content Responsibility
After delivery or launch of the website, the Client is solely responsible for the accuracy, legality, and completeness of all content, images, documents, and information published on the website.
Section 09
Client Supplied Material
All material supplied by the Client shall remain the Client’s property. AMR Softec assumes that all materials provided by the Client are legally owned or licensed by the Client.
Section 10
Domain Names
If AMR Softec purchases or manages a domain name on behalf of the Client, the domain shall be transferred to the Client after all related payments and dues are cleared.
Domains purchased directly by the Client are not subject to this condition.
Section 11
Travel Time and Expenses
Travel, meetings at the Client’s location, onsite visits, accommodation, and related expenses are not included in the project cost unless agreed in writing.
Section 12
Third-Party Services and Add-ons
Third-party costs are not included in the project price unless clearly mentioned in the proposal.
- Domain names
- Hosting or server charges
- SSL certificates
- Backup services
- Third-party APIs
- Plugins, scripts, software, widgets, or applications
- Payment gateway charges
- Email, SMS, WhatsApp, or notification services
Section 13
Portfolio, Marketing, and Case Study Rights
Unless otherwise agreed in writing, AMR Softec reserves the right to display and reference the Client’s name, logo, website URL, project screenshots, videos, designs, user interface elements, project descriptions, technologies used, and non-confidential performance metrics in its portfolio, case studies, website, social media channels, proposals, presentations, marketing materials, and promotional activities.
AMR Softec may create written or visual case studies describing the services provided and project outcomes, provided that no confidential, proprietary, financial, operational, trade secret, or non-public information is disclosed without the Client’s prior written consent.
If the Client requires confidentiality or wishes to restrict the use of project materials for portfolio or marketing purposes, such restrictions must be agreed upon in writing before the commencement of the project.
Section 14
Quotations
The price quoted to the Client is for the work agreed in the proposal only. Any changes, additions, or modifications requested after project approval may require a separate quotation and revised timeline.
Cost estimates and prices are valid for a maximum of one month unless otherwise agreed in writing.
Section 15
Mode of Payment
- Indian Clients: Bank transfer, NEFT, RTGS, UPI, or cheque.
- International Clients: Wire transfer, PayPal, or approved online payment method.
- All payment gateway fees, bank charges, currency conversion charges, or taxes shall be borne by the Client unless agreed otherwise.
Section 16
Payment Terms
- Payment milestones shall be agreed between the Client and AMR Softec.
- Invoices must be paid within the timeline mentioned in the invoice.
- Final website launch or complete handover will take place only after full payment is received.
- AMR Softec reserves the right to pause work if payments are delayed.
- Delayed payments may affect the agreed project timeline.
Section 17
Cancellation
Both parties reserve the right to cancel the project at any stage. In case of cancellation by the Client, payments already made for completed milestones, project initiation, planning, design, development, research, communication, and other completed work shall not be refundable.
If AMR Softec cancels the project, the refund amount, if applicable, shall be calculated after deducting the cost of work already completed.
Section 18
Project Timeline and Penalty
AMR Softec will make reasonable efforts to complete the project within the agreed timeline. However, timelines may change due to delays in feedback, content, approvals, payments, third-party dependencies, or scope changes.

- Client Responsibilities: Avoid changing the approved scope without timeline and cost revision.
Section 19
Delayed Response from Client
Delays from the Client in providing feedback, content, information, approvals, access, or payments may affect the project timeline.
If the Client does not respond for an extended period, AMR Softec may pause the project, mark completed work as delivered, or revise the project schedule.

Escalation
In case of project-related concerns, the Client may contact AMR Softec management for resolution.

Section 21
Time Estimates
Time estimates are based on the approved scope of work. If the Client changes the requirements, asks for additional features, delays approvals, or changes content structure, the timeline may be extended.
Section 22
Business Profits
After the Client makes the agreed payment for the project, AMR Softec will not claim any share in the Client’s business profits, revenue, or sale of business.
Section 23
Copyright and Ownership Rights
Unless otherwise agreed in writing, AMR Softec retains rights over reusable code, frameworks, development methods, internal tools, libraries, processes, and intellectual property created or used during the project.
The Client owns the final website content, brand assets, logo, images supplied by the Client, and project-specific deliverables after full payment is received.
Section 24
Source Code and Intellectual Property
Unless exclusive rights are clearly agreed in writing, AMR Softec reserves the right to reuse general code, components, concepts, structures, layouts, and technical methods for other projects.
- The Client shall not create unauthorized copies of AMR Softec software, scripts, or systems.
- The Client shall not resell, redistribute, or transfer AMR Softec code without written permission.
- The Client shall not reverse engineer any software, script, or application developed by AMR Softec.
- The Client shall not provide AMR Softec-owned files, documents, or software to third parties without approval.
Section 25
Limitation of Liability
AMR Softec shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of business, loss of data, loss of savings, or business interruption arising from the use or inability to use the website, software, application, or digital solution.
AMR Softec’s responsibility shall be limited to correcting errors directly caused by AMR Softec within the agreed support or warranty period.
Section 26
Changes to Terms
AMR Softec reserves the right to update or modify these Terms and Conditions at any time. Agreements signed before such updates shall remain governed by the terms agreed at the time of signing unless both parties agree otherwise in writing.
